These terms cover your use of the DOIT Consultants website and the way we work together. By using our website, our client portal, or our services, you agree to them.
The Basics
These terms apply to our website, proposals, and the general work we do with you. When you hire us for ongoing IT support or a specific project, the details of that work, including the scope, service levels, pricing, and each party’s responsibilities, will be set out in a separate managed services agreement or statement of work.
If there’s any difference between these terms and a signed agreement, the signed agreement will take priority.
Who We Are
DOIT Consultants is an IT services and cybersecurity company based in Milton, Ontario. We work with small and medium-sized businesses across the GTA and surrounding communities.
In these terms, “we,” “us,” and “our” refer to DOIT Consultants. “You” means the business using our website or services, as well as anyone the business has authorized to use them.
Our Services
Our services are built around five deliverables: helpdesk support, Technology Alignment Management (TAM), virtual CIO (vCIO) guidance, centralized services with 24/7 security monitoring and threat response, and professional services.
Professional services may include structured cabling, low-voltage installations, server rooms, and security systems. We also offer AI readiness, business continuity and backup, penetration testing, and cyber insurance readiness, and we work with Creative Squad on web presence projects.
Our website gives an overview of these services. It doesn’t cover the full scope of any service, and your business scope is defined in your agreement.
Using Our Website & Client Portal
You’re welcome to browse and get in touch. If we give you access to our client portal, please keep your login confidential, and tell us right away if you suspect it’s been misused.
Please don’t use our website or portal unlawfully, try to gain unauthorized access, or copy our content without permission.
Quotes & Proposals
Any quote or proposal is based on the information available at the time, and final scope and pricing can change once we understand your environment in detail.
A quote isn’t binding until both sides agree to it in writing.
Your Responsibilities
For us to do our work well, you agree to:
- Give us accurate information about your systems, users, and locations.
- Give us timely access to systems and premises.
- Keep licences and subscriptions for your software and services current.
- Tell us about staff changes and new equipment.
- Follow reasonable security practices, such as strong passwords and multi-factor authentication.
- Confirm that you have the right to give us access to the systems we support.
Security Monitoring & Response
Our security operations center monitors alerts from the systems we manage, and our team responds to threats we detect.
You authorize us to take reasonable protective steps to contain a threat, such as blocking malicious activity or isolating a device, even where that briefly disrupts your work.
No security measure can prevent every attack, and we can’t promise that your systems will never be breached.
Backup & Business Continuity
We provide customized backup and restoration services to suit your requirements and budget, and we monitor them according to the agreed terms.
Backups can occasionally fail or can be subject to factors that we cannot control, and hence we are unable to give you any guarantees for complete restoration of your data.
Penetration Testing
Penetration testing can affect the systems being tested, and we carry it out only with your written authorization, in line with an agreed scope and rules of engagement.
You confirm that you own or are authorized to test the systems included in the scope, and you accept the risks of testing, including possible short-term disruption.
Test results reflect your systems at a point in time.
Cyber Insurance Readiness
We help you strengthen the technical and operational controls insurers look for.
Whether you qualify for coverage and what coverage or premium you’re offered is decided by your insurer, and we can’t guarantee any outcome.
AI Readiness
Our AI readiness services are advisory and implementation support.
You remain responsible for how you use AI tools, for the data you put into them, and for reviewing what they produce.
Professional & Installation Services
For cabling, low-voltage, server room, and security camera work, we’ll need access to the property and any permissions required by your landlord or property manager.
If you use cameras or monitoring systems, you’re responsible for ensuring they’re used in line with the privacy and workplace laws that apply to your business, including any required notices or signage.
If we bring in subcontractors for part of the work, we’ll coordinate their work as part of the project.
Third-Party Products & Services
Some of the products and services we use or recommend come from other companies, including Microsoft, security providers, and cloud service providers.
Your use of those products or services may also be subject to their own terms. While we’ll do our part to support the work, we’re not responsible for outages, changes, or problems caused by a third-party provider.
Confidentiality
We treat the business and technical information you share with us as confidential and use it only to provide our services, as described in our privacy policy and your agreement.
Payment
Payment terms are set out in your agreement or proposal. Invoices are due as agreed, and we may suspend services for unpaid invoices after giving you reasonable notice.
Hiring Our Staff
Our team members are part of what makes our service work. Please don’t hire or contract our staff directly for at least [12] months after your last service with us. Talk to us first if you’d like to.
Intellectual Property
The content on our website, and the tools, methods, and documentation we use, belong to DOIT Consultants or our partners.
Deliverables we create for you in a paid engagement are covered by your agreement.
Limitation of Liability
We provide our website and services professionally and in good faith. To the extent the law allows, we’re not liable for indirect or consequential losses, such as lost profits, lost data, or business interruption, or for issues outside our reasonable control.
Our responsibility for a paid engagement is governed by, and limited under, your agreement.
Governing Law
These terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there.
Changes
We may update these terms from time to time. The date at the top shows the latest version.
